Terms of Service
These Terms govern your access to and use of Omega Tools ("Service"). By creating an account or making a purchase you agree to these Terms.
1. Service description
Omega Tools is an audit-grade validation operations platform for LLM prompt and agent changes. We provide cost-gated runs, deterministic metering, artifact preservation, and council deliberation traces. Customers bring their own LLM provider keys (BYOK); we do not mark up provider token costs.
2. Account and eligibility
You must be at least 14 years old to create an account, and at least 19 (Korean civil age 19) to enter a paid subscription independently. Minors aged 14–18 require verifiable parental or legal-guardian consent before subscribing. You are responsible for the accuracy of your registration information and for safeguarding your credentials.
3. BYOK and provider responsibilities
You are solely responsible for the LLM provider accounts you connect (OpenAI, Anthropic, Vertex, etc.), including their billing, rate limits, and terms. Omega Tools acts only as the metering and execution layer; we never proxy provider charges and never store provider credentials in plaintext (KMS-encrypted at rest).
4. Acceptable use
You will not (a) attempt to bypass cost gates, audit trails, or sandbox boundaries; (b) use the Service to generate content that violates applicable law; (c) share credentials across workspaces you do not legally control; (d) probe or attack the Service or its peers. We reserve the right to suspend accounts that breach these clauses, with notice where reasonable.
5. Fees, billing, and currency
Platform subscription fees are listed on the /pricing page. We accept payment in USD via Stripe. Korean tax invoices (세금계산서) become available after our business registration completes — until then, KR-locale invoice issuance is deferred (no charge change). Subscriptions renew monthly until canceled.
6. Cancellation and refunds
You may cancel a paid subscription at any time from /billing. The full refund and cancellation policy is at /refund-policy and includes the 7-day cooling-off period required by the Korean Act on Consumer Protection in Electronic Commerce.
7. Service availability and limitations of liability
The Service is provided "as is" and we do not guarantee uninterrupted availability. We maintain runbooks for disaster recovery (DB rollback, key rotation, infrastructure outages), but we are not liable for indirect, incidental, or consequential damages arising from third-party LLM provider outages, your own configuration errors, or force majeure events.
8. Privacy and data
Your data is handled per the Privacy Policy at /privacy. Audit events are stored with hashed IP/user-agent; raw secrets are never logged. Workspaces are tenant-isolated.
9. Modifications
We may update these Terms; material changes will be announced at least 14 days before they take effect through the in-app notification banner and email. Continued use after the effective date constitutes acceptance.
10. Governing law and disputes
These Terms are governed by the laws of the Republic of Korea. Disputes shall first be addressed in good faith between the parties; unresolved disputes are subject to the jurisdiction of the Seoul Central District Court.
